2. Acceptance of terms
By using our website or engaging our services, you confirm that you have read, understood and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, please do not use our website or services.
We may update these terms from time to time. Continued use of our services after changes are published constitutes your acceptance of the updated terms.
3. Our services
SpotlightLocal provides Google Maps ranking improvement services for local businesses. Our services include:
- A complimentary ranking audit of your current Google Maps position
- A 7-day free trial of our ranking system
- Ongoing monthly subscription plans (Community and City) providing continued ranking activity, reporting and dashboard access
We operate externally and do not require access to your Google Business Profile or website. Details of our service delivery are set out in any separate service agreement or onboarding documentation provided to you.
4. Free audit and free trial
The free ranking audit and 7-day free trial are offered at no cost and with no obligation. No payment or credit card details are required to access the audit or trial. Following the trial period, continued use of our services requires subscription to a paid monthly plan.
5. Subscriptions, fees and payment
5.1 Subscription plans. Paid subscription plans are billed monthly in advance in Australian dollars (AUD). Current pricing is listed on our website and may be updated with reasonable notice.
5.2 Payment. Payment terms will be outlined in your service agreement. Failure to pay may result in suspension or cancellation of services.
5.3 Cancellation. You may cancel your subscription at any time by providing 30 days' written notice to info@spotlightlocal.com.au. You will continue to have access to the service for the duration of the notice period. No refunds are provided for partially used billing periods except as required by Australian Consumer Law.
5.4 Price changes. We reserve the right to amend pricing. We will provide you with at least 30 days' notice of any price change. Your continued use of the service after the effective date of a price change constitutes acceptance.
6. Your responsibilities
By using our services, you agree to:
- Provide accurate and complete information when submitting enquiry forms or entering into a service agreement
- Maintain an active and accurate Google Business Profile, as this is a prerequisite for our service to be effective
- Not use our services for any unlawful purpose
- Not attempt to reverse-engineer or interfere with our systems or processes
- Notify us promptly of any material changes to your business that may affect service delivery
7. Results and performance
We use proven processes to improve Google Maps rankings and have achieved strong results for clients. However, we do not guarantee specific ranking positions or outcomes, as search engine rankings are influenced by factors outside our control, including competitor activity, Google algorithm changes and the strength of your existing Google Business Profile.
Our free trial is designed to demonstrate measurable movement before you commit to a paid plan. We work in good faith to deliver results and will communicate transparently about performance through reporting and dashboard access.
8. Exclusivity
We operate on an exclusivity model — we will not provide services to more than one business per category per service area. This is for your benefit. However, exclusivity is confirmed only once a paid subscription has commenced and is maintained for the duration of your active subscription.
9. Intellectual property
All content on our website, including text, graphics, logos, design and code, is the intellectual property of SpotlightLocal or its licensors. You may not reproduce, distribute or use our content without our prior written consent.
Our proprietary ranking methodology, platform and processes remain our intellectual property at all times.
10. Confidentiality
Each party agrees to keep confidential any non-public business information disclosed in connection with the services, and not to disclose such information to third parties without prior written consent, except as required by law.
11. Privacy
Our collection and use of personal information is governed by our Privacy Policy, which forms part of these terms.
12. Limitation of liability
To the fullest extent permitted by Australian Consumer Law and other applicable legislation:
- Our total liability to you for any claim arising out of or in connection with our services is limited to the amount you paid us in the 3 months preceding the claim
- We are not liable for any indirect, consequential, incidental or special loss or damage, including lost profits or lost business opportunities
- We are not responsible for changes to Google's algorithms, policies or platforms that affect ranking outcomes
Nothing in these terms excludes, restricts or modifies any consumer guarantee, right or remedy you have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) that cannot lawfully be excluded.
13. Australian Consumer Law
Our services come with guarantees that cannot be excluded under the Australian Consumer Law. If our services are not provided with acceptable care and skill, you are entitled to remedies under that law. Nothing in these terms is intended to limit your statutory rights.
14. Termination
Either party may terminate the service agreement:
- By the client: At any time with 30 days' written notice
- By SpotlightLocal: Immediately if you breach these terms materially and fail to remedy the breach within 7 days of written notice; or with 30 days' notice for any other reason
Upon termination, all access to the service, dashboard and reporting will cease at the end of the notice or billing period.
15. Disputes
If a dispute arises, we ask that you contact us first at info@spotlightlocal.com.au so we can attempt to resolve it informally. If the dispute cannot be resolved within 30 days, either party may refer the matter to mediation or to a court of competent jurisdiction in New South Wales, Australia.
16. Governing law
These Terms of Service are governed by the laws of New South Wales, Australia. Both parties submit to the non-exclusive jurisdiction of the courts of New South Wales.
17. Severability
If any provision of these terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
18. Entire agreement
These Terms of Service and our Privacy Policy constitute the entire agreement between you and SpotlightLocal regarding your use of our services, and supersede all prior agreements and understandings on that subject matter.
